In certain specific cases, a complete acceleration of the vesting is necessary. Following the acceleration, the allocated securities become vested and can be exercised earlier.
A vesting acceleration can occur in the following cases:
- An initial public offering (IPO)
- A buyback : thus, employees who have shares in the process of being acquired will be able to acquire them in full, then exercise them and resell them as part of the buyback.
To enter a vesting acceleration, here are the steps to follow.
1️⃣ Add a new transaction, then select "Acceleration" :

2️⃣ Enter the date of the acceleration and then choose whether the acceleration is for a specific security or for an account :
If it is one or more accounts, select the one or those concerned :
If it is a title or several titles, select the one or those concerned :
Whether you select a security or an account, in the next step you can choose :
- For an account - the securities concerned by the acceleration if the acceleration does not concern all the different categories of securities associated to the same account
- For a security - the accounts concerned by the acceleration if it does not concern all the beneficiaries of the same security
3️⃣ Fill the inherent informations of the acceleration :
🟢 You can change both the vested quantities and the percentages by changing them to 100%, depending, one or the other will be adjusted automatically.
🟠 You can change the date of the end of exercise period, this will automatically change the exercise period.
🟣 You can delete the rows not concerned by acceleration, you need to right click on the row concerned and then click on "delete row".
⚠️ If the acceleration is not total but partial, the remaining securities will be considered "lost" and the vesting schedule will be stopped.
4️⃣ Create a new event or link the operation to an existing event in the timeline :
5️⃣ Once the transaction up, this is what will happen to the account holders :
Before acceleration :
Today, Juan Carlos has acquired 3750 BSPCE out of 5000, so he can exercise 3750 of them. His final vesting date is 23/11/2023.
After a 100% vesting acceleration :
Added transaction :
We notice that his vesting schedule has been accelerated and that he has acquired all of his BSPCEs, i.e. 5000.
After partial acceleration of vesting :
We add the transaction and accelerate the vesting and passed it to 90% of vested securities, i.e 4500 BSPCE on 5000, we also lost 500 BSPCE :
