How does the Cap table work?

The Cap Table view presents the distribution of the company's capital ownership. Synchonised with the operations of the transactions ledger, the Cap table updates itself automatically.

The Cap table can be set-up to present the distribution of the company's capital ownership between the different holders pooled either by Relationships or by Securities.

The Cap table is shown by default on the day of connection. You can change the date via the date selector. 

For each holder, on the selected date, the Cap table shows:

  • the amount of held securities ("Issued" column) and the corresponding percentage based on total issued capital
  • the amount of potentially held securities ("Fully diluted" column) based on total issued capital

The fully diluted capital takes into account all of the securities held by each holder, securities representing capital (ex : ordinary or preference shares) as well as securities giving access to capital (ex : warrants, convertible bonds...).

Securities giving access to capital are taken into account in the Cap table only if they have a defined conversion or exercise ratio (ex: a warrant giving the right to subscribe to an ordinary share). Securities without a defined ratio are not taken into account (ex: a warrant without exercise ratio).
