How to set up the details of a security?

The information requested changes according to the security concerned:

 

Ordinary share

For "ordinary share" type securities, you should fill-in the following details:

1️⃣ Fill-in the name of the share (example: "ordinary share" or "ordinary share A" )

2️⃣ fill-in the issue date: this is the first issue date of this type of shares.

3️⃣ Choose whether or not you wish to include the transactions related to this type of shares in the valuation simulation of your company (visible in the Valuation tab of the menu).

Preferred share

For "preferred share" type securities, you should fill-in the following details:

1️⃣ Enter the name of the share (example: "ADP" or "preferred share S" )

2️⃣ fill-in the issue date: this is the first issue date of this type of shares.

3️⃣ If your preferred share is to be converted, select the underlying security : This security must be created in advance.

ℹ️ This selection is not binding, you will still have the possibility, while setting-up your conversion transaction, to enter a different security).

4️⃣ If you have selected an underlying security in the previous step, enter the applicable conversion ratio. If your ratio is not a whole number, specify a rounding rule for the calculation in case of fractional shares.

5️⃣ Choose whether or not you want to include the transactions related to this type of shares in the valuation simulation of your company in the Valuation menu.

 

Warrant with vesting schedule

For securities of type "Warrant (with vesting schedule)", you need to fill-in the following details:

0️⃣ Create the underlying share of the security: this is the type of security your warrant can be converted into if exercised.

1️⃣ fill-in the name of the warrant (example: "BSA 2021").


2️⃣ fill-in the issue date: this is the first issue date of this type of warrant.

3️⃣ Select the underlying security.

4️⃣ Enter the exercise price of your security subscription form.

5️⃣ Enter the applicable conversion ratio. If your ratio is not a whole number, enter a rounding rule for the calculation in case of fractional shares.

6️⃣ Set the expiration date of the warrant. You can do this by specifying a date or a period (in months or years).

       ℹ️ If you choose to specify a period and not a fixed date, the calculation of this period will be based on the allocation date you specified when setting up the grant operation.


7️⃣ Choose whether or not you want to include the transactions related to this type of shares in the valuation simulation of your company in the Valuation menu.

 

Warrant

For "Warrant" type securities, you should fill-in the following details:

0️⃣ Create the underlying share of the security: this is the type of security your warrant can be converted into if exercised.

1️⃣ Fill-in the name of the warrant (example: "BSA Ratchet C" or "BSA Air").

2️⃣ Enter the date of issue: this is the first issue date of this type of warrant.

3️⃣ Select the underlying security.

4️⃣ Enter the exercise price of your security subscription form.

❓ If your exercise price depends on future events (e.g. a future financing round), use the available button to grey out the exercise price field. In this case, you will be able to fill-in the exercise price when adding an exercise transaction.

5️⃣ Enter the applicable conversion ratio. If your ratio is not a whole number, specify a rounding rule for the calculation in case of a break.

❓ If your conversion ratio depends on future events, use the available button to grey out the conversion ratio field. In this case, you will be able to fill in the conversion ratio when adding an exercise transaction.

⚠️ If you do not enter a conversion ratio, your warrant will not be taken into account when calculating the quantities and % in "Diluted" in your Cap table.

6️⃣ Set the expiration date of the warrant. You can do this by specifying a date or a period (in months or years).

ℹ️ If you choose to indicate a period and not a fixed date, the calculation of this period will be based on the grant/subscription date that you indicated when setting-up your transactions.

7️⃣ Choose whether or not you want to include the transactions related to this type of shares in the valuation simulation of your company in the Valuation menu.

 

Stock-options

For securities of type "Stock-options", you should fill-in the following details:

0️⃣ Create the underlying share of the security: this is the type of security your stock-options can be converted into if exercised.

1️⃣ Fill-in the name of the stock-option (example: "SO 2021").

2️⃣ Fill-in the first issue date: this is the first issue date of this type of security.

3️⃣ Select the underlying security.

4️⃣ Enter the exercise price of your stock-option.

5️⃣ Enter the applicable conversion ratio. If your ratio is not a whole number, enter a rounding rule for the calculation in case of fractional shares.

6️⃣ Set the expiration date of the subscription option. You can do this by specifying a date or a period (in months or years).

ℹ️ If you choose to specify a period and not a fixed date, the calculation of this period will be based on the grant date you specify when setting up the grant operation.

7️⃣ Choose whether or not you want to include the transactions related to this type of shares in the valuation simulation of your company in the Valuation menu.

 

Free shares 

 

For securities of type "Free share", you must fill-in the following details:

0️⃣ Create the underlying share of the security: this is the type of security your free shares can be converted into if exercised.

1️⃣ Fill-in the name of the free share (example: "AGA 2021").

2️⃣ Fill-in the issue date: this is the first issue date of this type of free share.

3️⃣ Select the underlying security

4️⃣ Enter the applicable conversion ratio. If your ratio is not a whole number, indicate a rounding rule for the calculation in case of breakage.

5️⃣ Choose whether or not you want to include the transactions related to this type of shares in the valuation simulation of your company in the Valuation menu.

 

Convertible note

 

For securities of type "Convertible Note", you should fill-in the following details:

0️⃣ Create the underlying share of the security: this is the type of security your warrant can be converted into if exercised.

1️⃣ Fill-in the name of the convertible note (example: "OC 2021").

2️⃣ Fill-in the issue date: this is the first issue date of this type of convertible note.

3️⃣ Select the underlying security.

4️⃣ Enter the applicable conversion ratio. If your ratio is not a whole number, provide a rounding rule for the calculation in case of breakage.

❓ If your conversion ratio depends on future events, use the available button to grey out the conversion ratio field. In this case, you will be able to fill-in the conversion ratio when adding a conversion transaction.

⚠️ If you do not enter a conversion ratio, your convertible note will not be taken into account when calculating the quantities and % in "Diluted" in your capitalisation table.

5️⃣ Set the expiration date of the warrant. You can do this by specifying a date or a period (in months or years).

ℹ️ If you choose to indicate a period and not a fixed date, the calculation of this period will be based on the subscription date you indicate when setting up your operation.

6️⃣ Choose whether or not you want to include the transactions related to this type of shares in the valuation simulation of your company in the Valuation menu.

 

Phantom Share

 

For securities of type "Phantom Share", you should fill-in the following elements:

0️⃣ Create the underlying share if specified by the plan.
⚠️ However, this is rarely the case, most of the time there is none.
1️⃣ Fill-in the name of the Phantom Share (example : Phantom Share 2021)

2️⃣ Fill-in the issue date: this is the first issue date of this type of Phantom Shares.

3️⃣Select the underlying share. (if specified)

4️⃣ Set the expiration date. To do so, please specify a date or a period of time (in months or years).

ℹ️ If you select a period and not a fixed date, the starting date of the period will be the subscription date you filled-in when setting up the transaction.

⚠️ A phantom share does not always have an expiration date. If there is one, it will be specified in the Plan.

5️⃣ When creating the security, at step 2 "Vesting", after the question "Is the security subject to a vesting schedule?" place the toggle on Yes.

ℹ️ Most of the time, Phantom Shares have a vesting schedule. Besides, there are two prerequisites to be granted Phantom shares : being an employee at the time of the grant, and achieving certains targets (set beforehand).
